Terms of Service

1. Subscription and Billing

Joycey is provided on a subscription basis. The Contractor Plan is $29/month and includes the company owner plus one additional user. Each additional active user is $10/month. Subscriptions renew automatically each month until canceled.

All new accounts receive a 14-day free trial; no card is required to begin. After the trial, a valid payment method is required to continue using the Service. Adding or removing seats prorates and updates your next invoice automatically. Fees are non-refundable except where required by law.

2. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials and all activity under your account.
• The accuracy of data you and your team upload, including timecards, quotes, and customer records.
• Obtaining any consents required to upload employee, crew, or customer information into the Service.
• Complying with all applicable laws, including labor, tax, and privacy laws relevant to your business.

3. Account Ownership

The individual who creates the workspace is the account owner unless ownership is formally transferred in writing. The account owner controls billing, seat management, and user invitations. Disputes over account ownership between you and your employees, partners, or contractors must be resolved among yourselves; Joycey will not adjudicate ownership claims and will continue to follow the instructions of the current account owner of record.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Reverse-engineer, scrape, or attempt to gain unauthorized access to the Service or its underlying systems.
• Upload viruses, malware, or any code intended to disrupt the Service.
• Resell, sublicense, or white-label the Service without our written consent.
• Use the Service to harass, defame, or violate the rights of others.

We may suspend or terminate accounts that violate this section, with or without notice.

5. Service Availability

We work to keep the Service available 24/7, but we do not guarantee uninterrupted access. Planned maintenance, third-party outages, force majeure, and unforeseen issues can affect availability. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

6. Limitation of Liability

To the maximum extent permitted by law, Joycey and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid to Joycey in the 12 months preceding the event giving rise to the claim.

7. Termination and Cancellation

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued. After cancellation, your workspace data is retained for up to 90 days to allow reactivation, after which it is permanently deleted.

We may suspend or terminate your account immediately for non-payment, violation of these Terms, or activity that poses a risk to the Service or other users. Upon termination, your right to access the Service ends immediately.

8. Intellectual Property

Joycey and its licensors retain all rights, title, and interest in the Service, including all software, designs, and trademarks. You retain all rights to the data and content you upload. You grant Joycey a limited license to host, process, and display that content solely to deliver the Service to you.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
